Office Depot has been working with Florida officials in connection with an inquiry concerning the Company’s contract pricing to certain customers in Florida.
The resolution with the Florida AG primarily relates to an issue regarding one particular price plan previously offered under our lead agency contract to Florida customers who purchased products from Office Depot through a program administered by the U.S. Communities Government Purchasing Alliance.
There was nothing wrong with the price plan itself, which was offered between January 2006 and March 2009, and which simply gave customers the choice of a flat discount from retail website pricing. Depending on the buying patterns of each customer, however, this plan could cost more or save money compared to the alternative plan. In response to potential concerns with this price plan, in spring 2008, Office Depot began contacting customers who were on this particular price plan to ensure customer understanding and satisfaction.

The resolution settles any concerns about the discount-from-retail website price plan and is effectively another outreach to Florida customers to ensure they understood their price plan. As part of the resolution, Office Depot will contact eligible customers in Florida to offer a refund if they qualify.
At the same time the Office Depot settlement was finalized, the Florida Attorney General separately indicated that it had investigated and was dismissing, with prejudice, a “whistleblower” lawsuit brought by David Sherwin, a disgruntled former employee who has been on a loud and negative campaign against Office Depot in which he alleged a variety of improper pricing practices. In dismissing Mr. Sherwin’s complaint, the Attorney General said that it investigated and found insufficient basis for the claims.
Office Depot has been the office supplies vendor for U.S. Communities for more than 13 years, during which time the Company has provided tens of thousands of products annually to more than 10,000 public agencies nationwide. Office Depot has proven time and again that public sector entities save substantial amounts of money on this program – money that they can use for educational programs, jobs, and other necessities.
Office Depot continues to enjoy excellent relationships with customers in the State of Florida, including public agencies and municipalities at all levels of government throughout the state. We currently hold the State contract and are actively participating in the State’s recent bid for a new contract.
